BHP Law advise on Quantum MBO

8th Feb 2011

SOLICITORS at BHP Law have helped an entrepreneur complete a management buy out of Europe’s biggest distributor of motors and drives.

Business and Company Law Team Leader Gary Copeland and company law specialist Zoé Dick, who are both based at the Darlington office of BHP Law, provided legal advice to Kevin Brown, managing director of Quantum Controls Ltd, in the deal.

Mr Brown exercised an option to buy the remaining 60 per cent of the Prudhoe-based business following the partial MBO of the business nine years ago.

Gary explained: “Under the terms of a shareholders’ agreement entered into in 2001, Kevin was able to increase his shareholding in the business year on year to 40 per cent by the end of last year.  “The purchase of the remaining 60 per cent shareholding completes the MBO and puts Kevin in full control of the business. We wish him and his team every success for the future.”

Established in 1989, Quantum Controls Ltd specialises in the sale, service and support of variable speed drives and motors.

Its customers include Northumbrian Water, Sellafield and GlaxoSmithKline and it is an official partner of the Carbon Trust.

Quantum Controls is recognised by the world’s leading electrical and automation engineering company, ABB, which appointed it as one of only six exclusive UK partners for its motors and drives products.  The company is set to embark on an expansion programme, developing new products and diversifying into new sectors.
